Outside Management Group
Represented outside management group in negotiating term sheet with private equity group for $100 million line of equity to fund roll up acquisition strategy.

Biotech Private Placement Investment

Investors in InCube Ventures II, L.P.
Served as legal counsel to three feeder funds made up of individual accredited investors in connection with the formation of each company and preparation of its company agreement for purpose of aggregating investments into InCube Ventures II, L.P.

$5 million Private Offering of Equity

San Antonio Based Oil and Gas Company
Served as legal counsel to issuer in the private offering of $5,000,000 in partnership interests to accredited investors to finance the acquisition of working interests in exploration, development, and work-over projects and interests in existing production.

Amendment to Management Buyout Agreements

Management Group of Formerly Public Company
Served as legal counsel to key members of management group following multi-billion dollar going private transaction, in connection with the amendment of employment agreements and equity incentive awards.

Dissolution of Family Limited Partnership

Individual Member of General Partner
Represented individual member of general partner in connection with unwinding family limited partnership following divorce and ancillary litigation.

Performance Share Plan

Dallas Based Private Company
Represented company in connection with design and drafting of performance share plan to award key employees with synthetic equity.

Profits Interest Award

San Antonio Based Technology Company
Served as tax and legal counsel to early growth stage company in connection with grant of profits interest to chief technology officer.

$1.5 million Convertible Notes

Pharmacy Benefit Management Corporation
Served as legal counsel to the issuer in the private placement of $1.5 million in convertible notes. The notes are convertible at the option of the holders into LLC membership interests carrying up to a 30% percentage interest.

$5 million Sale to U.S. Physical Therapy (NASDAQ: USPH)

Regional Outpatient Rehabilitation Practice
Served as legal counsel to seller in the sale of a 65% interest in an outpatient rehabilitation practice to a publicly traded buyer for $5 million. The practice will continue to be run by the firm's founder, who retains a 35% interest.

$1.2 million Private Offering of Equity

San Antonio Based Restaurant Group
Served as legal counsel to the issuer in the private offering of $1,200,000 in limited partnership interests to accredited investors to finance the construction and operation of a new restaurant venture.

$1.0 million Private Offering of Equity

MH Commercial Realty
Served as legal counsel to the issuer in the private offering of $1,000,000 in limited partnership interests to accredited investors to finance the purchase of raw land and speculative development of an office building.

Outside General Counsel

1080 Entertainment
As outside general counsel to independent television production company, negotiated and drafted various legal agreements necessary for production of cable television programs, including co-production agreement, producer agreement, writer agreement, consulting agreement, work-for-hire agreement, clip release, talent release, and other contracts. Programs for which services were used include: Jurassic Fight Club, and 2012 Ancient Doomsday Prophecy.
